1. Financial Design Labs

For the purposes of this Code of Ethics Addendum, a Financial Design Labs Member (“CommunityMember” or “Member”) refers to:

• Any firm or individual who has an active (i.e., paid or discounted) membership with Financial Design Labs.

2. Code of Ethics

We consider Financial Design Labs to be a collaborative, non-predatory environment. This comes with expectations that are extended to any party involved, including Financial Design Labs staff.

• Collaborate in ways that are supportive and create mutual benefit for all parties involved.
• Establish methods of finding success that are not to the detriment of other parties (e.g.,taking business, poaching, undermining, etc.).
• Conduct oneself in an appropriate manner when interacting with other parties.
• Seek to collaborate and innovate for the betterment of one’s clients, peers, and industry as a whole.
• Contribute ideas and experience that can enhance our collective intelligence.
• Any services offered within the community should not be exclusively offered to those who join the Member’s firm; you may need to create non-exclusive offerings accessible to all Members.

3. Non-Compete Clause

Due to the collaborative nature of Financial Design Labs, there may be situations in whichCommunity Members share and discuss challenges facing their businesses. Community Members are encouraged to work collaboratively on creating solutions for all parties but are prohibited from utilizing information gained within the community to negatively target, undermine, or take business away from another Member.

4. Non-Solicitation Clause

In accordance with the terms of this Code of Ethics Addendum, Community Members are prohibited from:

• Engaging with other Members in a way that seeks to divert, block, take, or undercut business from another Member, even if other Members initiate discussions (see Non-Servicing Clause).
• Headhunting or hiring employees or contractors away from a Member except when a Member is explicitly seeking to place an employee or contractor at another firm, or when a contractor does not have an exclusive or ongoing contract or agreement with the Member.

5. Non-Servicing Clause

In accordance with the terms of this Code of Ethics Addendum, if a Community Member is approached by another Member looking to initiate business or acquire services, the Member is prohibited from engaging with or offerings services to the Member or engage with the Member in a way that would circumvent the Non-Solicitation Clause.

6. Penalties

In the event a Member violates the terms of this Addendum, Financial Design Labs reserves the right to:

• Immediately terminate the Member’s affiliation with Financial Design Labs.
• Seek financial compensation from the Member for lost revenue stemming from the Member’s violation(s) and/or costs associated with the termination of the Member’s affiliation with Financial Design Labs.

Terms subject to change. Financial Design Labs is required to notify the Community Member of changes to the terms of this Code of Ethics Addendum within 45 days of making said change(s). Unless the Member responds otherwise, it is assumed the Member’s signature below constitutes ongoing approval to any changes that are made and provided to the Member within the required timeframe.
